Claudia Gabriela Motta-Vélez 

Ms. Motta's main areas of practice are corporate and international law, mergers and acquisitions, banking, finance and securities law. Ms. Motta has advised on various local and international acquisitions in the financial, pharmaceutical, educational and technology industries and frequently works on regulatory matters for financial institutions, including international banking entities in Puerto Rico, and has advised in numerous applications to federal and local banking agencies for local banks and international banking entities. She also engages in real estate law practice, including project financing and structuring.

Illustrative of Ms. Motta's mergers and acquisitions, real estate and financial institutions regulatory work are her representations of:

  • Popular, Inc. in the reorganization of its United States operations, including the merger of Banco Popular, National Association with and into Popular North America, Inc.
  • EVERTEC, Inc. in its various acquisitions of a software development and data processing entities in Central America and Puerto Rico;
  • Instituto de Banca y Comercio in its acquisitions of educational institutions in Puerto Rico and the United States;
  • United Medical Corporation affiliates in the sale of eight psychiatric hospitals in Florida and Kentucky;
  • Universal Insurance Group in its private issuance of $115 million of preferred stock;
  • Citibank, N.A. in the refinancing of the Ritz-Carlton San Juan Hotel, Spa & Casino;
  • Firstbank Puerto Rico in the financing of the Sheraton Puerto Rico Hotel & Casino;
  • Chrysler Financial Services Caribbean LLC in various transactions for the sale of its auto loan portfolio to Firstbank Puerto Rico and Puerto Rico Acquisitions, LLC.
