Melba I. Acosta Febo 

Ms. Acosta has practiced in the areas of general corporate, banking and financial institutions, regulatory matters, real estate, mortgage, public and private financings among others. She has worked in a wide range of corporate transactions, including asset securitizations and mortgage loan sales, commercial real estate, mergers and acquisitions, securities offerings, warehousing lines of credit, servicing agreements and loan participations, among others. She has dealt with sophisticated securities and banking regulatory issues, among them issues related to anti-money laundering, privacy, information security, regulatory examinations, as well as complex accounting issues, such as restatement of financials and asset quality. Ms. Acosta also has extensive experience dealing with government financing issues.

Prior to re-joining McConnell Valdés, Ms. Acosta was Executive Vice President, Interim Chief Financial Officer and Corporate Risk Manager of a publicly traded bank holding company, where she was responsible for general direction and supervision of the departments of Accounting, Finance, Regulatory Reporting, Compliance, Enterprise Risk Management, Information Security, Internal Audit, Loan Review, and Legal Counsel. Prior to that position, she held the position of Chief Administrative Officer of the subsidiary bank, where she was responsible for all the administrative and operational aspects.

During 2001 to 2004, Ms. Acosta was the Executive Director of the Office of Management and Budget ("OMB") of the Commonwealth of Puerto Rico. As Director of OMB, she was in charge of the preparation of the Budget of the Commonwealth of Puerto Rico, drafting all related budget and financial legislation, and the supervision of its administration in the Executive Branch agencies. OMB evaluates the effectiveness of agency programs, policies, and procedures, assesses competing funding demands among agencies, and sets funding priorities. In coordination with the Department of the Treasury and the Government Development Bank for Puerto Rico, OMB oversees and coordinates the Government's initiatives in financial management. The Director of OMB participates in credit rating presentations and promotes information technology initiatives. During her tenure, and as the CIO of the Commonwealth of Puerto Rico, Ms. Acosta participated in ground-breaking initiatives such as e-government, the development of the government telecommunication infrastructure, and e-procurement.

Ms. Acosta is Member of the Board of Directors of the Museum of Art of Puerto Rico, Fondos Unidos (United Ways) and Fundacion Luis Muñoz Marin. She has served as Member of the Board of Directors of the Government Development Bank.

Ms. Acosta is a Certified Public Accountant and a Notary.
