Mr. Céspedes Jr. is a Capital Member of the Firm and Chairman of the Corporate Practice Group. He is also a member of the firm's Practice Management Committee, Chairman of the firm's Marketing and Business Planning Committee, and of the Mergers and Acquisitions Practice Area, and Co-Chair of the Government Affairs Practice Area.

Practice Areas

Mr. Céspedes Jr.'s main areas of practice are municipal financing, asset-based financing, mergers & acquisitions, real estate, distribution/franchise laws, bids & procurement and government affairs.

Education

He obtained a Bachelor's Degree from the School of Foreign Service of Georgetown University and a Juris Doctor from Columbia University School of Law.

He is admitted to practice in the Commonwealth of Puerto Rico and the Commonwealth of Pennsylvania.

Previous Experience

Between 1987 and 1988 he served as law clerk to Judge Juan M. Pérez Giménez of the United States District Court for the District of Puerto Rico. From 1988 to 1990 he worked as a trial attorney in the Environmental Torts Branch of the Civil Division of the United States Department of Justice, selected as part of the Attorney General's Honors Program. Between 1990 and 1991 Mr. Céspedes served as Deputy Director and General Counsel of the Puerto Rico Federal Affairs Administration in Washington, D.C. Throughout 1992, he was the Legal Counsel to the Governor Rafael Hernández-Colón.

Representative Transactions

During 2002 and 2003, Mr. Céspedes Jr. worked as underwriter's counsel in bonds transactions of Puerto Rico government issuers amounting to more than $2.5 billion. Mr. Céspedes Jr. has also worked in major recent acquisition transactions such as Univision Radio's acquisition of El Mundo Broadcasting Corp. (WKAQ AM/FM radio stations), Univision's acquisition of local TV's Channel 11 and Shell Chemical's purchase of Sun Oil petrochemical refinery in Yabucoa, Puerto Rico. Mr. Céspedes Jr. has also advised many clients in connection with issues related to their distribution and sales representation agreements. labor and employment issues.
