We represent clients on a wide range of transactions outside of Puerto Rico, and on regulatory and commercial issues affecting inbound and outbound transactions. Our International and Cross Border Transactions Practice Team brings together the experiences of attorneys who worked in law firms in the principal commercial and banking centers of the United States, and who have significant experience working on transactional, commercial and regulatory matters with a nexus outside of Puerto Rico.
We have negotiated asset purchase agreements, stock purchase agreements, joint venture agreements, management agreements, services agreements, loan agreements and license agreements on half of our clients throughout the continental United States, Latin America, and the Caribbean. We have access to the worldwide Lex Mundi network of law firms to coordinate transactional due diligence on local law issues, such as immigration, taxation, labor, intellectual property, and currency controls. We have also assisted clients venturing into foreign markets on export financing and distribution agreements.
On the regulatory side, we provide counseling on the application of the Bank Secrecy Act (including filing of Foreign Bank and Financial Account Reports), the Foreign Account Tax Compliance Act, and U.S. export-import controls, including those involving the Office of Foreign Assets Control and prohibited persons. We also counsel clients on the application of the Foreign Corrupt Practices Act (“FCPA”), by drafting corporate policies, protective language in partnership agreements, and carrying out audits and incident investigations and representation in enforcement actions.
