Welcome to the McConnell Valdés LLC website (the "McV Site"). This site is operated by McConnell Valdés LLC ("McV"), a limited liability company with offices in San Juan, Puerto Rico and Washington, D.C. Please read these Terms of Use carefully before using the McV Site. By using the McV Site, you agree to be bound by these Terms of Use. If you do not agree to these terms of use, you are not authorized to access the McV Site. McV reserves the right to modify these Terms of Use at any time by posting modified Terms of Use on the McV Site, and your continued use of the McV Site thereafter will constitute agreement with such modifications.

Nature of Information and Materials
Although the McV Site may provide information concerning legal issues, such information is not intended to constitute or be a substitute for legal advice from qualified counsel. You agree that McV is not engaged in rendering legal services or advice by providing the information and materials on the McV Site, and that your use of the McV Site does not create any attorney-client relationship between you and McV. McV assumes no responsibility for any consequence relating directly or indirectly to any action or inaction you take based on the information or material on the McV Site. While McV takes reasonable measures to keep the information on the McV Site accurate, complete and up-to-date, McV will not be responsible for any damage or loss related to the inaccuracy, incompleteness or lack of timeliness of the information.

In the event that you gain access to information not intended to be accessed by you, you agree that you will immediately notify McV and lawfully destroy all copies of such information in your possession.

The McV Site may include links to other Internet sites that are beyond the control of McV. McV is not responsible for the content of any such site, makes no representations regarding any such site, and does not necessarily endorse or approve of the information, material, products or services contained on or accessible through any such site. You acknowledge and agree that your linking to other site, your use of such site, and your use of any information, material, products and services offered by such site, are solely at your own risk.

Disclaimer
The materials provided on the McV Site are provided "as is" and without warranty of any kind, express or implied. McV disclaims all express and implied warranties with regard to the information and materials contained on the McV Site, including without limitation, implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

Limitation of Liability
In no event shall McV, or its members, attorneys, employees or affiliates, or contributors to the McV Site, be liable for any loss or injury, or any damages, whether direct, special, indirect, punitive, incidental, exemplary, consequential, or otherwise, whether based on breach of contract, tort (including negligence), product liability or otherwise, resulting from your access or use of the McV Site. You hereby waive any and all such claims against McV, its partners, affiliates, and contributors. You agree that the limitations set forth above are fundamental elements of this agreement, and that the McV Site and its materials would not be provided to you absent such limitations. Some state statutes may restrict this limitation of liability.

Indemnification
You agree that you will not use the McV Site for any unlawful purpose, or for any purpose prohibited by these Terms of Use. You agree to indemnify, defend and hold harmless McV, its members, attorneys, employees, affiliates and contributors from any liability, loss, claim and expense (including attorneys' reasonable fees) related to (i) your violation of these Terms of Use, and/or (ii) your posting or use of materials on the McV Site.

Non-Waiver
McV's failure to insist upon strict enforcement of any provision of this agreement shall not be construed as a waiver of any provision or right.

The information on the McV Site is made available for general informational purposes only, and is not intended to constitute specific legal advice or to be a substitute for advice from qualified counsel. No Attorney-Client Relationship
McV has a policy of entering into attorney-client relationships with its clients only after certain procedures have been completed, including executing an engagement letter and addressing professional responsibility conflicts as required by Puerto Rico law. No Advertising or Solicitation
The McV Site is not intended to be an advertisement or solicitation.

Sensitive Communications
You agree that electronic mail sent by you to McV will not be treated as confidential or invoke an attorney-client privilege; provided, however, that if you are an existing client of McV and you send an electronic mail to McV pertaining to a matter in which McV then represents you, such electronic mail may be entitled to be treated as confidential or privileged. Notwithstanding the foregoing, you acknowledge that electronic mail and the Internet are generally insecure media of communication, and McV cannot guarantee the confidentiality of any electronic mail sent to or received by it or any information submitted by you to McV through the McV Site.

Authorized Practice
Each McV attorney is licensed to practice only in those jurisdictions set forth in that attorney's biography on the McV Site. Except as specifically stated, each McV attorney is not certified (including as a specialist) by any professional or government authority. The listing of McV attorneys in practice groups is not intended to indicate any professional or governmental certification.

No Warranty of Results
The information on the McV Site may contain descriptions of matters in which McV successfully represented its clients. The results of these matters were dependent on their specific circumstances, and are in no way intended to be predictive of future results, even in similar circumstances, or offer any type of guarantee or assurance of outcome. Information pertaining to McV clients does not reflect the opinions of such clients.

Privacy
With respect to information submitted or collected on the McV Site, you accept McV's privacy policy as set forth in our Privacy Policy, available on this link. McV is not responsible for the privacy practices of any third party website to which the McV Site hyperlinks. When you use the McV Site, which may be hosted in part or its entirety by a third party, the McV Site will collect certain information indirectly and automatically (through, for example, the use of "cookies" or your "IP address") about your activities. McV uses this activity information (the "Activity Information") for internal purposes only.

The McV Site is designed so that you may generally browse it without providing any personally identifiable information. McV uses information for the purposes for which it was submitted by you to McV.

Governing Law and Forum
You agree that any dispute arising out of or in connection with the McV Site or these Notices and Terms will be governed by the laws of the Commonwealth of Puerto Rico without reference to conflict of laws that would require the application of the laws of any other jurisdiction, and you submit to the exclusive jurisdiction and venue of the Commonwealth of Puerto Rico's Court of First Instance, San Juan Part, located in San Juan, Puerto Rico.
