Osvaldo Medina-Hernández is a corporate, regulatory, and public policy attorney whose practice focuses on advising businesses and investors on corporate, regulatory, and public policy matters in Puerto Rico, with a focus on structuring and advancing projects in highly regulated industries. He helps clients align corporate structures with business objectives, secure governmental approvals and licenses, execute strategic transactions, and coordinate initiatives involving public and private stakeholders.
He regularly assists clients establishing or relocating operations in Puerto Rico under Puerto Rico’s economic incentive programs, including Act 60, with licensing, registration, permitting, compliance, governance, and strategic structuring matters necessary to support long-term growth and operational success.
Osvaldo also counsels nonprofit organizations, trade associations, and other entities on corporate, governance, and transactional matters, including entity formation, board governance, organizational structuring, corporate restructuring, mergers and acquisitions, and commercial transactions.
His insurance practice includes advising insurers, reinsurers, intermediaries, and other insurance market participants on regulatory compliance, licensing, administrative enforcement actions, legislative initiatives, and interactions with the Office of the Commissioner of Insurance. He also provides strategic counsel on insurance-related public policy initiatives and emerging regulatory developments affecting the industry.
Osvaldo is further recognized for his government affairs and public policy experience. Leveraging his extensive experience in the legislative and regulatory process at both the Puerto Rico and federal levels, he assists clients in developing and advancing legislative initiatives, addressing regulatory challenges, securing governmental approvals, and navigating matters involving agencies, municipalities, and policymakers. His experience spans a broad range of industries and subject matters, including maritime and nautical activities, gaming, insurance, financial services, short-term rentals, economic development projects, municipal affairs, natural resources, and environmental regulation.
In the healthcare and life sciences sector, Osvaldo advises clients on health policy development, legislative and regulatory strategy, and public funding initiatives. His experience includes supporting healthcare organizations, professional associations, and industry participants in navigating evolving public policy that impacts healthcare delivery, innovation, and investment in Puerto Rico.
Prior to joining McConnell Valdés LLC, Osvaldo served in senior legal and public policy positions within the Puerto Rico Legislative Assembly, including as Chief Legal Counsel and Public Policy Advisor to a top-ranking Puerto Rico Senator and gubernatorial pre-candidate, as well as Executive Director of the Senate Committee on Finance, Federal Affairs, and the Fiscal Oversight and Management Board, the Judiciary Committee, the Joint Committee of the Legislative Assembly for the Continuous Review of the Penal Code and for the Reform of Criminal Laws, and the Joint Committee of the Legislative Assembly for the Revision of the Civil Code.
Throughout more than fifteen years of public and private sector experience, he has played a leading role in the development, analysis, negotiation, and advancement of significant legislation, regulatory initiatives, and public policy measures affecting key sectors of Puerto Rico’s economy.
Osvaldo is also committed to pro bono service and has supported nonprofit and cultural institutions, healthcare-related foundations, and community-focused organizations in matters involving governance, corporate restructuring, legislative research, tax incentives, contract review, real estate due diligence, notarial work, and government-facing submissions. His recent pro bono work includes assisting organizations such as the MCV Foundation, the Luis A. Ferré Foundation, Fundación Patronato del Palacio de Santa Catalina, Pro-Techos, the Museo de Arte Contemporáneo de Puerto Rico, and the Museo de Arte de Ponce in advancing initiatives that promote healthcare, the arts, historic preservation, housing, and community development in Puerto Rico.
