Welcome to the McConnell Valdés LLC website (the "McV Site"). This site is operated by McConnell Valdés LLC ("McV"), a limited liability company with offices in San Juan, Puerto Rico. Please read these Terms of Use carefully before using the McV Site. By using the McV Site, you agree to be bound by these terms of use ("Terms of Use"). If you do not wish to be bound by the Terms of Use, you must immediately discontinue and refrain from accessing or using the McV Site. Any access to or continued use of the McV Site shall constitute your full acknowledgement and affirmative agreement to be bound by, comply with, and be legally responsible for adhering to the Terms of Use, as they may be amended from time to time.
McV, in its sole discretion, reserves the right to modify, amend, or update these Terms of Use at any time without prior notice. All modifications shall become effective immediately upon posting on the McV Site, unless otherwise specified. McV will indicate the date of the most recent revision at the top of these Terms of Use. Your continued access to or use of the McV Site following the posting of any modifications constitutes your binding acceptance of such changes. It is your responsibility to review the Terms of Use periodically to stay informed of any changes. McV is not required to provide additional notice of material changes to the Terms of Use but lack of such notice does not affect any modifications.
NATURE OF INFORMATION AND MATERIALS
Any information, content, materials, or resources provided on the McV Site that relates to legal matters are provided for general informational and educational purposes only and are not intended to constitute legal advice, create an attorney-client relationship, or serve as a substitute for consultation with qualified legal counsel. You expressly acknowledge and agree that: (a) McV is not providing legal services or advice through the McV Site; (b) no attorney-client relationship exists or will be formed between you and McV or any of its affiliates, officers, directors, employees, or agents through your use of the McV Site; (c) the information provided may not reflect the most current legal developments and may not be applicable to your specific circumstances or jurisdiction; and (d) should consult with a licensed attorney in your jurisdiction before taking any action based on information obtained from the McV Site.
McV makes no representations, warranties, or guarantees, whether express or implied, regarding the accuracy, completeness, timeliness, reliability, or suitability of any information or materials provided on the McV Site. To the fullest extent permitted by applicable law, you acknowledge and agree that your use of and reliance upon any information or materials on the McV Site is entirely at your own risk, and McV shall not be liable for any direct, indirect, incidental, consequential, special, punitive, or exemplary damages, losses, costs, or expenses (including without limitation lost profits, business interruption, or attorney's fees) arising from or relating to: (i) your use of or inability to use the McV Site; (ii) any action or inaction taken by you based on information obtained from the McV Site; (iii) any errors, omissions, inaccuracies, or defects in the information provided; or (iv) any interruption or cessation of transmission to or from the McV Site, regardless of the theory of liability and even if McV has been advised of the possibility of such damages.
RESTRICTIONS ON USE OF MATERIALS
All content, materials, and intellectual property on the McV Site, including copyrights, trademarks, and proprietary rights, are owned by McV, its affiliates, or licensors and are protected by applicable laws. You may access and use the McV Site content solely for personal, non-commercial purposes. You may not copy, reproduce, modify, distribute, publicly display, or create derivative works from the McV Site content without McV's prior written consent. If you access information not intended for you, you must: (a) immediately notify McV; (b) cease accessing such information; and (c) destroy all copies in your possession. You acknowledge that McV reserves all legal remedies for violations of these provisions.
THIRD-PARTY SITES
The McV Site may contain links, references, or connections to third-party websites, applications, services, resources, or content (collectively, "Third-Party Sites") that are owned, operated, or controlled by parties other than McV. McV provides these links solely as a convenience to users and does not control, monitor, endorse, warrant, or assume any responsibility for Third-Party Sites or their availability, content, privacy practices, terms of use, or business practices. The inclusion of any link on the McV Site does not constitute, imply, or suggest any endorsement, approval, recommendation, or affiliation by McV with respect to any Third-Party Site or its operators, content, products, or services. McV makes no representations or warranties regarding the reliability, security, or appropriateness of any Third-Party Sites. You explicitly acknowledge and agree that any access to, use of, or reliance upon Third-Party Sites and any information, materials, products, or services they provide is undertaken entirely at your sole risk and responsibility.
DISCLAIMER
The materials provided on the McV Site are provided "as is" and without warranty of any kind, express or implied. McV disclaims all express and implied warranties with regard to the information and materials contained on the McV Site, including without limitation, implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
INDEMNIFICATION
You agree that you will not use the McV Site for any unlawful, unauthorized, or improper purpose, or for any purpose prohibited by these Terms of Use or applicable law. Without limiting the foregoing, you specifically agree not to: (a) violate any local, state, national, or international law, statute, ordinance, or regulation; (b) transmit, post, or distribute any content that is unlawful, harmful, threatening, abusive, defamatory, vulgar, obscene, or otherwise objectionable; (c) infringe upon or violate any intellectual property, privacy, publicity, or other proprietary rights; (d) impersonate any person or entity or misrepresent your affiliation with any person or entity; (e) interfere with or disrupt the McV Site's servers, networks, or security features; (f) attempt to gain unauthorized access to any portion of the McV Site, other user accounts, or computer systems; (g) engage in any activity that could damage, disable, overburden, or impair the McV Site's functionality; (h) use any automated means, including robots, crawlers, or scrapers, to access or collect data from the McV Site; (i) transmit spam, chain letters, or other unsolicited communications; or (j) engage in any commercial use of the McV Site without express written authorization.
You agree to indemnify, defend, and hold harmless McV and its officers, directors, members, partners, attorneys, employees, agents, affiliates, subsidiaries, successors, assigns, and contributors (collectively, the "Indemnified Parties") from and against any and all claims, demands, actions, suits, proceedings, investigations, liabilities, damages, losses, costs, and expenses (including but not limited to reasonable attorneys' fees, court costs, expert witness fees, and litigation expenses) arising out of, resulting from, or related to: (i) your use of or inability to use the McV Site; (ii) your violation of these Terms of Use or any applicable law, regulation, or third-party right; (iii) any content, information, or materials you post, upload, transmit, or otherwise make available through the McV Site; (iv) your breach of any representation, warranty, or covenant contained herein; (v) any negligent, wrongful, or unlawful act or omission by you; (vi) any third-party claims arising from your use of the McV Site; and (vii) any disputes between you and any third party. This indemnification obligation shall survive termination of these Terms of Use and your use of the McV Site.
NON-WAIVER
McV's failure to insist upon strict enforcement of any provision of this agreement shall not be construed as a waiver of any provision or right.
NO LEGAL ADVICE
The information on the McV Site is made available for general informational purposes only, and is not intended to constitute specific legal advice or to be a substitute for advice from qualified counsel. The information may not reflect recent developments in the law, may not be complete, and may not be accurate in or applicable to your jurisdiction. NO ATTORNEY-CLIENT RELATIONSHIP
McV has a policy of entering into attorney-client relationships with its clients only after certain procedures have been completed, including executing an engagement letter and addressing professional responsibility conflicts as required by Puerto Rico law. You agree that your access to the McV Site or receipt of the information on it, or your transmission of electronic mail to addresses on the McV Site, does not create an attorney-client relationship between you and McV.
NO ADVERTISING OR SOLICITATION
The McV Site is not intended to be, and should not be construed as, an advertisement, solicitation, invitation, or offer to provide professional services.
SENSITIVE COMMUNICATIONS
You agree that electronic mail sent by you to McV will not be treated as confidential or invoke an attorney-client privilege; provided, however, that if you are an existing client of McV and you send an electronic mail to McV pertaining to a matter in which McV then represents you, such electronic mail may be entitled to be treated as confidential or privileged. Notwithstanding the foregoing, you acknowledge that electronic mail and the Internet are generally insecure media of communication, and McV cannot guarantee the confidentiality of any electronic mail sent to or received by it or any information submitted by you to McV through the McV Site.
AUTHORIZED PRACTICE
Each McV attorney is licensed to practice only in those jurisdictions set forth in that attorney's biography on the McV Site. Except as specifically stated, each McV attorney is not certified (including as a specialist) by any professional or government authority. The listing of McV attorneys in practice groups is not intended to indicate any professional or governmental certification.
NO WARRANTY OF RESULTS
The information on the McV Site may contain descriptions of matters in which McV successfully represented its clients. The results of these matters were dependent on their specific circumstances, and are in no way intended to be predictive of future results, even in similar circumstances, or offer any type of guarantee or assurance of outcome. Information pertaining to McV clients does not reflect the opinions of such clients.
PRIVACY POLICY
By accessing or using the McV Site, you hereby acknowledge and agree to be bound by the terms and conditions of McV's Privacy Policy, which is incorporated herein by reference and is available here. Your use of the McV Site constitutes acceptance of all privacy practices described therein.
McV expressly disclaims any responsibility or liability for the privacy policies, practices, or procedures of any Third-Party Site to which the McV Site may provide hyperlinks or connections. Users are advised to review the privacy policies of such Third-Party Site.
The McV Site may automatically collect certain technical and usage information through various technological means, including but not limited to cookies, web beacons, server logs, and Internet Protocol ("IP") address tracking ("Activity Information"). Such Activity Information is collected and utilized exclusively for McV's internal operational, analytical, and administrative purposes.
The McV Site has been designed to permit general browsing without requiring the disclosure of personally identifiable information ("PII"). However, certain designated areas or functionalities of the McV Site may require or permit the voluntary submission of PII. Any information voluntarily provided by users shall be processed and utilized solely for the specific purposes for which such information was originally submitted and collected.
McV may, in its discretion, share user PII with carefully selected third-party service providers who perform services on behalf of McV, including but not limited to communications management, database administration, event coordination, web hosting, direct mail services, and marketing support services. All such third-party providers are bound by appropriate confidentiality and data protection obligations.
While McV has implemented and maintains reasonable technical, administrative, and physical security measures designed to protect against unauthorized access, improper disclosure, and unlawful interception of user PII, McV cannot and does not guarantee absolute security or complete confidentiality of such information. Users acknowledge and accept that the transmission and storage of information via the Internet inherently involves certain security risks that cannot be entirely eliminated, and McV expressly disclaims liability for any unauthorized disclosure that may occur despite its reasonable security efforts.
GOVERNING LAW AND FORUM
You agree that any dispute arising out of or in connection with the McV Site or these Terms of Use will be governed by the laws of the Commonwealth of Puerto Rico without reference to conflict of laws that would require the application of the laws of any other jurisdiction, and you submit to the exclusive jurisdiction and venue of the Commonwealth of Puerto Rico's Court of First Instance, San Juan Part, located in San Juan, Puerto Rico.
